Terms of Trade

1. APPLICATION
All contracts for the supply of honey and contract packing services (“the Goods”) between The Three Traders Limited (“Us/We”) and the above-named applicant, user of this website, or any party receiving an invoice subject to these terms from us for the goods (“you”) will be governed by these terms of trade subject to any other special terms that may be notified to you relating to a particular supply.

2. PRICES AND PAYMENT
2.1 Unless stated otherwise, all quotes and prices are exclusive of GST which will be added where applicable and is payable by you.
2.2 Unless otherwise agreed in writing:
• All freight, insurance, delivery and travel charges will be additional to any price
quoted;
• Any quoted price is subject to variation and may be increased if we incur an increase in costs due to foreign currency rates, freight and insurance charges (if included), or as a result of increases in the cost of materials and labour beyond our control.
• All Goods for export are 50% payable on order confirmation with remaining 50% payable on completion of order.
• All Goods for local distribution are payable by the date due on invoice or as otherwise agreed.
All invoices must be paid as per payment date on invoice or by the 20th or the month following the date of invoice.
2.3 Without prejudice to any other rights of action, if you fail to pay in full by the due date we may:
• Charge you interest at 10% per month calculated on a daily basis from the due date to the date of payment
• Cancel or withhold supply of further work or orders.
2.4 All payments shall be made free from exchange or deduction to our office or bank account as notified on our invoices.
2.5 All costs and expenses (including full legal fees and commissions payable by us) incurred in obtaining payment of any overdue account, are payable by you
2.6 Any dispute regarding payment must be notified to us in writing within 7 days of delivery of the goods or the date of issue of the tax invoice whichever is the sooner.

3. RETENTION OF TITLE
3.1 Ownership in the Goods supplied remains with us until you have paid for the Goods in full:
• You hold the Goods as a fiduciary for us and will deal with them as our agent (but
you may not hold yourself out as such to third parties)
• You are prohibited from selling or otherwise disposing of the Goods before ownership and title of the goods supplied has passed to you. If you do sell them, any period of credit applicable to the sale of the Goods will automatically terminate and you must hold the proceeds of the sale of the Goods separately on trust for us.
• You irrevocably give us the right to enter any premises where the Goods are stored and remove and sell them. You indemnify us against all costs and expenses associated with the recovery and sale of the Goods, and against any claim including for any damage, injury or loss whatsoever suffered by any other person arising out of the recovery and/or resale of the Goods.

4. RISK AND DELIVERY
4.1 Delivery occurs when the Goods are made available at our premises for pick up by your nominated carrier, or our nominated carrier delivers the Goods to your nominated address. We are not liable to you for failure to deliver Goods where the failure arises from or as a result of circumstances outside our control and delay in delivery does not entitle you to cancel any order or refuse to accept delivery of the Goods.
Unless otherwise agreed in writing with you, from the time the Goods are picked up from our premise, risk of any loss or damage to the Goods from whatever cause lies with you and you are solely responsible for arranging insurance for Goods dispatched.
4.2 If any Goods are damaged or destroyed prior to ownership passing to you, without prejudice to any of our other rights, we are entitled to all insurance proceeds payable for the Goods and production of this contract is sufficient evidence of our right to receive those insurance proceeds without the need for any person to make further enquiries.

5. WARRANTY AND LIMIT OF LIABILITY
5.1 We will not be liable to you:
• Where you have altered, modified or mis-applied the Goods or subjected them to any non-recommended use, servicing or handling, or failed to comply with any written warranty terms;
• For any indirect or consequential loss including any loss of profits or any loss caused by factors beyond our control;
• For any other loss that is not notified to us within 2working days of delivery of the Goods
5.2 In any event, our liability (whether in contract, tort or otherwise) for any loss, damage or injury whatsoever shall be limited to, in our discretion, the replacement or repair of the Goods or the purchase price of the Goods in respect of which the loss or damage is claimed.

6. CANCELLATION
6.1 You may not cancel an order for Goods without our written consent. We may retain any deposit paid.
6.2 We may cancel an order that is impractical, or not cost efficient for us to supply or if we believe, in our opinion, that there is risk that you are not solvent.

7. LIENS
7.1 All Goods delivered to us or in our possession for may be retained by us until our services have been paid for in full. Where we retain a lien over your Goods, and you are more than 90 days overdue with payment, we may sell those Goods on terms we think fit and apply the proceeds to the amounts owing to us.

8. APPLICABLE LAW
8.1 The law and the jurisdiction of this contract shall be that of New Zealand.

9. CREDIT INFORMATION
9.1 You irrevocably authorise us to collect, retain and use personal information about you or the persons named in the application form for the purpose of assessing creditworthiness, maintaining effective customer and credit records, administering and financing, whether directly or indirectly, your contracts and enforcing our rights. You irrevocably authorise any person or company to provide any information to us for these purposes.

9.2 You further irrevocably authorise us to disclose to any person or company any information regarding any dealing between us. You have the right to access and request correction of personal information held by us.

10. PERSONAL PROPERTY SECURITY ACT 1999 (“PPSA”)
10.1 To the extent permitted by law, you agree that we contract out of Sections 114(1)(a), 133 and the Purchaser’s rights referred to in Sections 107(2)(c), (d), (e), (h) and (i) of the PPSA. This means that until ownership of the Goods passes to you, you waive your rights under the PPSA to:
• Receive a copy of any verification statement or financing change statement,
• Receive notice that we intend to sell the Goods or retain them to enforce our
security,
• Redeem the Goods or object to our proposal to retain goods in satisfaction of any obligation owed to us
• Receive a statement of account on the sale of the Goods (although you are entitled to have any surplus funds returned to you)
• Where the Goods become an accession, as defined in the PPSA, receive notice of the removal of the accession and not have goods damaged by that removal;
And you must not give us, or allow any other person to give us, written demand to register a financing change statement or allow any person to register a financing change statement.
10.2 You acknowledge that by signing these terms you grant us a security interest in our Goods and any proceeds of those goods on every supply made to you, and you will enter into any further documents or provide further information necessary for us to register a financing statement protecting our interests.

THE THREE TRADERS LIMITED AS THE DATA CONTROLLER INFORMATION WE MAY COLLECT

NOTE: When you purchase a product or paid The Three Traders Limited subscription, your credit card data is not transmitted through nor stored on our systems. All of The Three Traders Limited’s credit card processing is handled securely by our third party payment processors.
1. Information we may automatically collect about you (Automatic Device Data):With regard to each of your visits to the Platform we may automatically collect the following information:
• Visit information– including the full URL clickstream to, through and from the Platform (including date and time), page response times, errors, length of visits to certain pages, page interaction information, actions taken within the application and methods used to navigate away from the page;
• Technical information– including the Internet Protocol address used to connect your device to the Internet, your login information, browser type and version, geographical location, browser plug-in types and versions and operation system.
1. Information provided by the web and mobile application (Client Data):When using our services to connect to databases, including third party databases, we may pull data into the Platform which includes personal data. This is within your control, as we only pull data on your instruction.
2. Information from other sources (Other Data):We are working closely with third parties (including, for example, business partners, sub-contractors in technical and payment services, intelligence providers and analytics providers) and may receive information about you from them.

3. GDPR Article 6(1)(f) – processing of your personal data is necessary for legitimate interests of both The Three Traders Limited and you as our customer. Specifically:

5. Improving the performance and user experience of the The Three Traders Limited product
WHO PROCESSES YOUR INFORMATION?
We may disclose your personal data to the following persons:
1. Disclosure of information within The Three Traders Limited:We limit access to your personal data to employees who reasonably need to process such information as described under this policy. In this situation we:
• shall take commercially reasonable steps to ensure the reliability and appropriate training of any Authorized Employee.
• shall ensure that all Authorized Employees are made aware of the confidential nature of Personal Data and have executed confidentiality agreements that prevent them from disclosing or otherwise Processing, both during and after their engagement with Processor, any Personal Data except in accordance with their obligations in connection with the Services.
• shall take commercially reasonable steps to limit access to Personal Data to only Authorized Individuals.
1. Disclosure of information to particular third parties:We may disclose your personal data to the following third parties:
• ther members of our group (which means our subsidiaries, our parent company and its subsidiaries) for the purposes outlined in this Privacy Policy
• To contractors and other third-parties we use to support our business. These entities are bound by contractual obligations to keep personal information confidential and can use it only for the purposes for which we disclose the information to them.
• When you create an account on our check-out page. Please note that the information you share in public areas of our Websites may be viewed by any user of our Websites.
The Three Traders Limited shall:
1. a) notify the Client if it receives any complaint, notice or communication which relates directly to the processing of Personal Data, or to either party’s compliance with Data Protection Laws, and shall fully co-operate and assist the Client in relation to any such complaint, notice, communication or non-compliance; and
2. b) save for those processors deemed absolutely necessary, not engage another processor without prior specific or general written authorisation of the Client and in the case of general written authorisation, inform the Client of any intended changes concerning the addition or replacement of other processors, thereby giving the Client the opportunity to object to such changes
3. c) before disclosing Personal Data to any processor, enter into a contract with that processor under which the processor agrees to comply with obligations equivalent to those set out in these GDPR Terms; and
4. d) before disclosing Personal Data to any of its employees and representatives, and the employees and representatives of each of its processors, in each case who have access to the Personal Data, ensure that those persons:
(i) have undergone appropriate training or have a senior role within the company to take care of data protection and the care and handling of Personal Data;
(ii) are bound to hold the information in confidence to at least the same standard as required under this Agreement (whether under a written agreement or otherwise)
1. Disclosure of information in certain circumstances:We may also disclose your personal data:
• in the event we sell or buy any business or assets, in which case we may disclose your personal data to the prospective seller or buyer of such business or asset;
• if we or substantially all of our assets are acquired by a third party, in which case personal data held by us about our customers will be one of the transferred assets; or
• if we are under a duty to disclose or share your personal data in order to comply with any legal obligations, or in order to enforce or apply our terms for use of the The Three Traders Limited web and mobile application and other agreements; or to protect the rights, property or safety of The Three Traders Limited Limited, our customers or others. This includes exchanging information with other companies and organizations for the purposes of fraud protection and credit risk reduction.
Beyond this, we will not share your personal data with any other person without your consent.

WHAT DO WE DO TO SAFEGUARD PERSONAL DATA?
We have implemented safeguards and procedures to protect your personal data against loss or theft as well as unauthorised access and undue disclosure. We also use our best efforts to ensure that third parties who work with us agree to protect your personal data.
Unfortunately, the transmission of information via the internet is not completely secure. Although we will do our best to protect your personal data, we cannot guarantee the security of your data transmitted to our site; any transmission is at your own risk. Once we have received your personal data, we will use strict procedures and security features to try to prevent unauthorised access.
Where we have given you (or where you have chosen) a password which enables you to access certain parts of our platform, you are responsible for keeping this password confidential.

LINKS TO OTHER WEBSITES
The Platform may contain links to third party websites. However, we are not and shall not be held responsible for the content of such websites, or their privacy policies. If you visit another website, we advise you to review their privacy policy and other general terms of use.

DO NOT TRACK DISCLOSURE
“Do Not Track” is a standard that is currently under development. Because it is not yet finalised, The Three Traders Limited adheres to the standards in this policy and does not monitor or follow any Do Not Track browser requests. That said, some of our features may have the ability to monitor or follow Do Not Track browser requests.

RIGHT OF ACCESS & RECTIFICATION
If The Three Traders Limited processes your personal information on behalf of or at the direction of one of our subscribers or customers, you should first look to that subscriber or customer for assistance regarding the modification or correction of your personal information as described in the section titled “THE THREE TRADERS LIMITED AS THE DATA PROCESSOR” of this Privacy Policy.

The GDPR gives you the right to access and request a correction of personal data held about you. Your right of access can be exercised in accordance with the GDPR. Some access requests may be subject to a reasonable fee to meet our costs in providing you with details of the personal data we hold about you.
You have the right to access and correct your personal information. If you want to review or correct your personal information, you can login to the application and visit your account profile page, typically designated as “My Account”, or contact us through the Help Centre, or you may send us an email at the address noted above.

RIGHT TO DELETE PERSONAL DATA
If The Three Traders Limited processes your personal information on behalf of or at the direction of one of our subscribers or customers, you should first look to that subscriber or customer for assistance regarding the deletion of your personal information as described in the section titled “THE THREE 
TRADERS LIMITED AS THE DATA PROCESSOR” of this Privacy Policy.

You have the right to request deletion of personal information we hold about you and we have the obligation to erase your personal information, where:
• the personal information is no longer necessary in relation to the purposes for which it was collected or otherwise processed,
• you withdraw consent on which the processing is based and where there is no other legal ground for the processing,
• you object to the processing and there are no overriding legitimate grounds for the processing,
• the personal information has been unlawfully processed, or
• the personal information has to be erased for compliance with a legal obligation in the European Union or a Member State law to which The Three Traders Limited is subject.

COMPLIANCE
The Three Traders Limited will, upon the Client’s reasonable written request, provide all information necessary to demonstrate compliance with these GDPR Terms, and allow Customer or an auditor appointed by Customer to carry out audits, including inspections of facilities, equipment, documents and electronic data, relating to the processing of Personal Data by The Three Traders Limited or any processor, to verify compliance with these GDPR Terms.
THE THREE TRADERS LIMITED AS THE DATA PROCESSOR
The data you connect to, transmit to and store in The Three Traders Limited for the purposes of visualisation and data communication may contain personal data. In this case you are considered the data controller for any personal data you upload, transmit or connect – the natural person or persons to which this relates are your data subjects. In our Terms of Service and Privacy Policy, we refer to this data as Client Data.
Using The Three Traders Limited to manage your data means that you have engaged The Three Traders Limited as a data processor to carry out certain processing activities on your behalf.

Article 28 of the GDPR specifies that the relationship between the controller and the processor should be made in writing (electronic form is acceptable under subsection (9) of the same Article). The Three Traders Limited’s Terms of Service and Privacy Policy serve as your data processing agreement, setting out the instructions that you are giving to The Three Traders Limited with regard to processing the personal data you control and establishing the rights and responsibilities of both parties. The Three Traders Limited will only process your Client Data based on your written instructions as the data controller unless required by law to act without such instructions.
The Three Traders Limited is responsible for the processing of personal information it receives, and subsequently transfers to a third-party acting as an agent on its behalf in accordance with our terms and conditions. The Three Traders Limited may use from time to time third-party service providers, contractors, and sub-processors to assist in providing the Services on our behalf. The Three Traders Limited maintains contracts with these third-parties restricting their access, use, and disclosure of personal information.
You or other authorised users of The Three Traders Limited may upload and transmit Client Data as part of the Service that contains personal data relating to you or other individuals. We do not view or control such Client Data and simply process the Client Data on behalf or you or the owner of the Application in accordance with our Terms of Service. You expressly acknowledge that you or the person uploading, connecting or transmitting the Client Data (as applicable) retain sole responsibility for the Client Data and for obtaining all relevant consents, from the individual to which any personal data contained within the Client Data relates, to the processing of that personal data as part of the Service, and that such personal data is not covered by this Privacy Policy. Client Data is processed in the EEA and in the US. It is the responsibility of the Client to ensure that it has a suitable privacy policy in place to cover the transmission and processing of the Client Data and any personal data that it contains.
A subset of authorised The Three Traders Limited staff may, with the permission of an Authorised User, access your account in the course of diagnosing account issues or taking action on behalf of a The Three Traders Limited Client or Authorised User. This process is restricted to a minimal set of The Three Traders Limited staff members and only after receiving explicit, recorded consent from an Authorised User on the same account. All Client account access by The Three Traders Limited staff is logged and monitored.
Client Data may be stored by us or cached for performance purposes. Client Data can be deleted by you at any time by deleting the Service Account associated with that data. Please note that data used to render a given widget may be shared with other widgets on your account for the purposes of performance improvements and reducing the number of API requests to the source of that data. To ensure Client Data has been deleted all Service from that source should be deleted. If you choose to use our Datasets API to transmit Client Data, data received will be stored until such time as you delete or override the data.

Where we don’t store the underlying data we may rely on an upstream service to provide a snapshot. The length of time we cache Client Data for depends on the refresh intervals of the particular widget created. Under these circumstances, newly retrieved Client Data overwrites the old Client Data and the old Client Data is deleted.

The Three Traders Limited retains the personal information we process on behalf of our subscribers or customers for as long as needed to provide the Services to our clients and subscribers or customers. To the extent not deleted by our subscribers or customers, The Three Traders Limited may also retain and use certain personal information for a reasonable period of time thereafter as necessary to pursue our legitimate business interests, conduct audits, comply with our legal obligations, resolve disputes, and enforce our agreements.

CHANGES TO OUR PRIVACY POLICY
Any changes to the privacy policy will be posted on here.
If we want to make material changes to the way we use your personal data, we will ask for your consent the next time you use our services as a customer during check-out.
